As a highly specialized boutique law firm, we routinely provide strategic pension and benefits advice to both sellers and purchasers in corporate M&A transactions of all sizes, including cross-border deals, particularly where there is a complex pension or benefits matter involved.

While these retainers are often initiated by clients who wish to ensure that our expertise is present at the transaction ‘table’, we are also often retained by corporate law firms and departments to assist them to provide advice on pension and benefit matters to their clients.

We have deep knowledge and expertise in all aspects of transactions, including: due diligence reviews, providing sellers and purchasers with alternative approaches, negotiating and drafting pension and benefits terms of share purchase agreements, asset purchase agreements and loan agreements, and assisting with the completion of post-closing matters.

In addition, our lawyers have acted as lead pension counsel in some of Canada’s most complex and innovative corporate restructurings, both the Companies’ Creditors Arrangement Act (CCAA) and outside of formal Court proceedings.
