Lindsay McLeod is a senior lawyer at BMKP Law practising in the areas of pension, benefits and executive compensation law.

Lindsay has over 15 years of experience providing strategic and practical advice to both provincially and federally regulated employers and plan administrators. She advises clients on regulatory compliance as well as the taxation, design, administration, governance and termination of defined benefit (DB) and defined contribution (DC) pension plans, and supplemental executive retirement plans (SERPs).

She has a wealth of experience advising public and private companies on equity-based compensation arrangements, including stock option plans, deferred share unit (DSU) plans, restricted share unit (RSU) plans and profits interest plans.

Lindsay also regularly advises employers with respect to employee- related tax matters, including source deduction and tax reporting issues, as well as payroll audits and employer health tax.

Lindsay has extensive experience advising clients on the risks and complex issues that arise in connection with corporate transactions, including with respect to equity-based compensation arrangements.

Prior to joining BMKP Law, Lindsay was a Partner in the pension group at a pre-eminent Canadian law firm and also spent time at a top-tier global firm in the U.K.

Representative Work

  • Acted as counsel to a large Canadian agri-business in respect of its Canadian pension and savings plans, including governance, compliance and regulatory matters, plan consolidations and mergers and acquisitions- related activities.
  • Advised a multi-national pharmaceutical company in its capacity as pension plan administrator with respect to a corporate reorganization and pension investment matters.
  • Provided educational training to pension committees with respect to their fiduciary duties.
  • Drafted and advised on the implementation of various incentive compensation plans for private equity sponsors with portfolio companies in Canada.
  • Advised foreign parent companies on the use of global equity incentive plans in Canada.
